Running a Japanese entity

What a Japan entity must do each year

Japanese compliance is not one list. It depends on three things that move independently: deadlines fixed by statute, your headcount, and the prefecture your site sits in. And headcount alone is counted four different ways. This page puts all three on one timeline, in two tracks: people, and office and facility. The business year runs April to March. Form names stay in Japanese, because that is what is printed on the paper you file and what your advisers will cite.

As at October 2026, covering fiscal year 2026
What this covers, and what it does not. Two tracks only, people and facility, written for a single establishment, leased office space, and a headcount in the tens. It leaves out corporate income tax and consumption tax returns, statutory audit, the visa applications themselves, commercial registration, and inward investment reporting under the Foreign Exchange Act. Those sit with your tax accountant, auditor, immigration lawyer and judicial scrivener. Clearing this page is not the same as being compliant across the board.

What do foreign-owned companies in Japan miss most often?

Sixteen obligations, each with a clear legal basis and real consequences, that are missed systematically in offices of a few dozen people. Read this section first: it tells you within a minute whether to worry.

Which obligations are yours, and which are the landlord's?

Statutory inspections of the building are largely the owner's duty; the tenant carries its own leased area. This is where overseas HQ and the Japan office most often talk past each other. Draw the line in the lease, or you end up with items each side assumes the other is handling.

Tenant, which is you

  • Fire prevention manager and fire plan, judged on the whole building's occupancy
  • Inspection of fire equipment in your own area, plus fire drills
  • Office environment: lighting, ventilation, air volume, toilets, rest room
  • Disaster stockpile and keeping staff from heading home at once, under the Tokyo ordinance
  • Health and safety structure: hygiene manager, occupational physician, committee
  • Industrial waste manifests and the annual report
  • Fluorocarbon checks on air conditioners you own, including any server-room unit
  • Safeguards for personal data, and consent handling when employee data goes abroad
  • Taking part in the building-wide fire committee, which the owner convenes

Building owner or manager

  • Periodic report under Article 12 of the Building Standards Act
  • Environmental management for buildings over 3,000 square metres
  • Water tank cleaning and water quality testing
  • Elevator and escalator inspections
  • Statutory inspection of the building's electrical installation
  • Fire equipment in common areas
  • Fluorocarbon checks on the building's central system
  • Appointing the overall fire prevention manager and the building-wide fire plan
  • Premises inspection reporting, for specified-use buildings only
  • Disaster prevention manager and inspection, for large buildings

Which obligations switch on at which headcount?

These are not annual tasks. Each one begins when you cross a line, so this is the first thing to check when you set up an entity or add people. Note which count each rung uses, because four different counts are in play.

From your first employee
No headcount threshold
  • Labour insurance establishment notice within 10 days, provisional premium filing within 50 days
  • Employment insurance establishment notice within 10 days
  • Social insurance new application notice
  • Written working conditions, including since April 2024 the scope of changes to workplace and duties, renewal limits, and conversion rights
  • Power harassment measures: a stated policy made known, a consultation channel, a response process

  • At 800 to 1,000 square metres, or 80 to 100 employees, a nil return is still required. Nothing to pay, but a penalty if you skip it

Why does February decide your social insurance cost?

Because the standard remuneration filing submitted in July looks only at pay in April, May and June, and it sets the contribution base for the twelve months from September. By July the figure is already fixed. The decision that moves it is the scheduling decision taken in February, and it is the only dependency in the year that crosses months.

February
Decide where the work goes in April to June
Which quarter holds the busy season, when one-time bonuses are paid, which months carry overtime. This needs the business side, not HR alone
April to June
Actual pay in those three months
The July filing looks at these three months only
July 1 to 10
Standard remuneration filing
Once filed, the figure cannot be changed
September to next August
New insurance base applies
Twelve months of employer and employee contributions

One caveat worth stating plainly: this works only as a genuine scheduling decision. Arranging pay on paper to reduce contributions is a different thing, and not something to do.

Month by month

Dates are statutory deadlines; a weekend or public holiday pushes them to the next business day. Rates and amounts are deliberately left out, because a figure written into a reference never gets updated the following year. Teal marks the people track, green the office and facility track.

April

Start of the year
  • New health and nursing care insurance ratesFrom March premium
Starting with the premium paid in April
  • Child-care support levy beginsFrom April premium
Starting with the premium paid in May, new in fiscal 2026

August

No statutory deadline

The five-day minimum runs from each person's own grant date, so it has to be reviewed individually
  • Book the annual full fire equipment inspection, plan the drillNo fixed date
August and February are the only months with no statutory deadline, which makes them the only realistic windows for rule revisions and system design

September

New insurance base applies
  • New standard remuneration takes effectFrom September premium
Starting with the premium paid in October
  • Check the minimum wage announcement, revise pay tablesAfter announcement
Amount and effective date for each site, handled separately per site

October

Minimum wage takes effect
  • Minimum wage takes effectVaries by prefecture
In fiscal 2026 the dates run from 1 October to 2 December. Of the 37 October prefectures only 15 moved on 1 October, so a mid-month change splits that month's payroll into two periods
  • Distribute year-end tax adjustment formsOctober
    To employees
  • Accident report, one to three days lost, for July to SeptemberEnd of October
    Labour Standards Office

November

  • Collect year-end tax adjustment formsNovember

Issue a manifest for the disposal and keep the copy five years

January

Submission month
  • Withholding tax for July to December, special scheduleJanuary 20
Tax office. Only for employers paying fewer than ten people, and not the end of January
  • Statutory tax document summary, wage payment reports, withholding statementsJanuary 31
The summary to the tax office, wage payment reports to each employee's municipality of residence as at 1 January
  • Payment record for rent paid to an individual landlordJanuary 31
Tax office. Part of the statutory tax document package and routinely skipped
  • Depreciable asset returnJanuary 31
In the 23 wards of Tokyo this goes to the metropolitan tax office, not the ward office. Tenant fit-out is filed by the tenant
  • Accident report, one to three days lost, for October to DecemberEnd of January
    Labour Standards Office

February

No deadline, but the decision month
  • Conclude the 36 agreement and consult on work rule revisionsThis month
Electing the employee representative takes time on its own, which is why this starts in January
  • Decide April to June work schedulingDecision
This sets next year's standard remuneration directly. See the February chain above
  • Review layout changes and extra floor spaceThis month
A change in occupancy means filing a revised fire plan

March

Preparing the new year
  • File the 36 agreementBy April 1
Labour Standards Office. It must arrive before the agreement takes effect
  • Work rule change filing and payroll system rate updatesBefore effect
New health and nursing care insurance rates apply from the March premium
  • File the revised fire plan, clear fit-out with the fire stationOn change
Partitions and escape routes affect the fire equipment, so this is settled before works start

What else runs outside the monthly calendar?

Three groups of obligations do not belong to any month: those on their own cycle, those triggered by an event such as a hire or an accident, and those arising once when the entity or the office is new. Putting them in the calendar would turn every line into a conditional, so they sit here.

What does not apply to a company of a few dozen people?

Overseas HQ asks about several of these, and at this size they simply do not apply. The point is to be able to say so with a threshold rather than a guess.

How many ways is headcount counted in Japanese law?

Four. The same company produces a different number under each, so each has to be counted separately. A sixty-person company split across two offices can trigger nothing under the site count and two obligations under the company-wide count.

CountBasisWhat matters
Whole-building occupancyFire Service Act50 or more for offices and other non-specified use, 30 where the building includes specified use. Counted for the whole building, not just your company, and every tenant appoints its own fire prevention manager

Disclaimer

This page is general reference material, assembled to help a reader see the shape of a Japanese entity's annual compliance obligations. It is not legal, tax or social insurance advice, and it does not substitute for the judgment of a licensed labour and social security attorney, tax accountant, lawyer or administrative scrivener on your own facts.

The content reflects the law as at October 2026. Rates, amounts, the disability employment quota and effective dates are revised every year, and some items may have changed since this was written. For anything you act on, confirm the current year's published figures with the Labour Standards Office, pension office, Hello Work, tax office, fire station or prefecture with jurisdiction over your site.

Thresholds, scope and filing destinations vary with where the site is, what the building is used for, how people are employed, municipal ordinances, your lease and the building's management rules. This page assumes a single establishment, leased office space and a headcount in the tens; change those assumptions and some answers change.

Items marked as best-effort or optional are not statutory duties. Equally, the absence of an item here is not a guarantee that no duty exists. Industry-specific rules, hazardous materials, vehicles, overseas assignment and the use of dispatched workers all carry obligations this page does not cover.

The headcount threshold given for the older worker employment report, 21 or more, rests on secondary sources; confirm it with the Hello Work with jurisdiction over your site. Employers in scope are normally sent the form.

No liability is accepted for any decision or outcome arising from the use of this page.
